It helps to identify the parties and their respective roles and responsibilities under the contract.

It helps to avoid confusion or ambiguity with other parties who may have similar names or interests.

The particulars of the parties should include their full names, addresses, contact details, identification numbers, legal status, and any other relevant information.

If the parties’ particulars are not properly disclosed in a contract, it may create certain legal as well as logistic issues. Some examples: Difficulty in enforcing the contract or resolving disputes, as the parties may not be easily located or contacted, if contact details aren’t provided.

Fraud or misrepresentation, as the parties may not be who they claim to be or may have hidden or conflicting interests, if the legal status / registration numbers / identification numbers are not provided.

Uncertainty or inconsistency in the interpretation of the contract, as the parties may have different expectations or assumptions based on their identities or backgrounds.

Breach of legal or regulatory requirements, as the parties may not comply with the applicable laws or rules that govern their activities or transactions.

Therefore, be careful and incorporate full and accurate particulars of the parties in all your contracts.
